The Securities and Exchange Commission (the "SEC") issued a proposed rule (the "Proposed Rule") on March 30, 2011 to implement Section 952 of the Dodd-Frank Wall Street Reform and Consumer Protection Act (the "Act"), which generally requires the SEC to adopt certain listing standards related to the compensation committee of a company's board of directors (the "Compensation Committee"), as well as its compensation advisers. The Proposed Rule would also require new disclosures from companies concerning their use of compensation consultants and conflicts of interest.
