Buyers and sellers in the global M&A market are responding to a new set of deal-making challenges and a rapidly-evolving regulatory environment by adopting innovative deal structures and more flexible processes.
M&A activity has increased significantly in the first three quarters of 2010 compared to the same period in 2009, leading to a rise in hostile public M&A, cross-border M&A and private equity-backed deals.
The changing face of the M&A market has also highlighted how some buyers and sellers in Asia, Europe and in the USA are adapting the way they manage transactions to address issues in areas such as valuation, financing, deliverability and risk management.
Measures to improve the likelihood of deal certainty and using mechanisms such as earn-outs and milestone payments to overcome differences in valuation are among the tactics being used by buyers and sellers to help their M&A deals to succeed.
