The recent Mercury Tax Group case ([2008] EWHC 2721) has highlighted the need for careful consideration of execution procedures and advance planning of signing arrangements for commercial transactions. In this briefing we discuss the case and some of the legal issues relating to document execution from an English law perspective and provide some practical recommendations. This guidance takes account of a guidance note prepared by a joint working party convened by the Law Society Company Law Committee and the City of London Law Society Company and Finance Law Committees (the "Working Party") which instructed Counsel to confirm its recommendations.
