Clare Swirski has over 15 years' experience in corporate work including mergers and acquisitions, listings, reorganisations and joint ventures.

She has been a Partner in the Financial Institutions corporate group since 2003 and provides corporate, commercial and regulatory advice to insurers, banks and other financial institutions including advice on sales and acquisitions, portfolio transfers, establishment of new insurance companies, distribution arrangements, reinsurance transactions, joint ventures, solvency and regulatory capital issues and longevity risk products.

Relevant experience

  • The Co-operative Banking Group on the sale of its life insurance and asset management businesses to Royal London for a consideration of £219 million
  • Sun Life of Canada UK on the acquisition of Lincoln National and subsequent reorganisation of its life business
  • Aviva International on: the transfer and reorganisation of its UK non-life businesses from 10 insurance companies down to two; a significant reorganisation of its life business under Part VII of FSMA and reattribution of inherited estates; and on an internal reorganisation under Part VII of FSMA involving parallel transfers from life and general insurers
  • Royal Liver Assurance on its acquisition by Royal London through a transfer of engagements under the Friendly Societies Act 1992
