Matt Bergerud is a part of the firm’s Global Tech Group, a cross disciplinary team of lawyers globally advising on Tech risk and opportunity. Matt specializes in cross-border M&A, with a particular focus on private equity and tech transactions. He advises international and domestic private equity houses, financial sponsors and corporates on a wide range of matters including acquisitions, disposals, leveraged buyouts, takeovers, mergers, joint ventures, minority and growth capital investments, and restructurings.
Before joining Clifford Chance, Matt served as Head of the Corporate Legal Department for Sitecore Corporation and as Founder and Managing Director at GIST Corporation.
- leading the establishment of corporate organizational subsidiaries in new markets across the globe.
- planning and executing corporate global subsidiary strategy and structure including implementing corporate tax efficiencies and compliance processes, and intercompany agreements.
- advising on post-acquisition support including winding down entities, employment retention and transfer plans, IP strategy implantation, and equity and finance integration.
- liaising with EQT, the private equity owners of Sitecore, regarding key deal terms affecting bolt-on M&A and with associated capital raises to fund their global expansion projects for Sitecore.*
- liaising with EQT on corporate compliance matters such as UBO, KYC, audit, and equity program requests.*
- supporting private equity sponsors and private entrepreneurs with the transaction process to execute on portfolio investments, ranging in size from $100,000 to $1 billion.*
