Kelley Bledsoe is a strategic commercial contracting attorney in Clifford Chance's US Tech//Digital team. Kelley advises her clients on transformative outsourcing and technology solutions transactions that facilitate successful, long-term business relationships and drive operational efficiency and significant cost savings.

Kelley counsels a diverse range of organizations, including multinational corporations, financial institutions, health systems, health insurers, benefits administrators, and health tech startups, on service provider selection and RFP processes, deal structuring, contract drafting and negotiations, data privacy and protection strategies, and post-contracting vendor management.

Kelley has significant experience negotiating strategic information technology outsourcing (ITO) and business process outsourcing (BPO) transactions, as well as software license, software as a service (SaaS), business associate, artificial intelligence procurement, and other bespoke corporate and commercial contracts that drive her clients' strategic initiatives.

Representative matters include:

  • Negotiated long-term application development and maintenance agreements for a California health insurance company with multiple service providers (including Accenture, Cognizant, HCL, Infosys, and Syntel).
  • Guided California and New York health insurance companies in transformative business process as a service (BPaaS), IT infrastructure and application development outsourcings, valued at US$2.8 billion and US$1.7 billion, respectively.
  • Led outside counsel team to augment a fertility benefits administrator’s in-house contracting team to support its large volume of customer-facing and procurement deals, including support for annual sales cycle and strategic partnerships with resellers.
  • Represented Fortune 50 corporation in support of various commercial contracting needs, including SaaS, marketing orders, cloud services, software and data licensing, staffing augmentation, and managed services.
  • Drafted template SaaS, software licensing, and professional services agreements for a premier national bank and presented a corresponding week-long training on contracting and vendor management best practices to the client’s legal, procurement, risk management, and business teams.
