The Corporate and Equity Capital Markets practice continues to be the pre-eminent corporate and equity capital markets practice in the Kingdom of Saudi Arabia.

The practice specialises in mergers and acquisitions, restructurings, equity offerings, private equity/venture capital, funds, corporate and commercial advisory, real estate, privatisation, joint ventures, financial services regulatory advice, intellectual property and foreign investment advice.

We act for both banks and corporates and have a prestigious client base that is second to none in the Kingdom. We act on a regular basis for several leading international investment banks, corporates and government departments.

Recent experience:

Almarai Company’s acquisition of Hadco - advised Almarai Company, the world’s largest integrated dairy company, on its cash and stock bid to acquire the entire issued share capital of Hail Agricultural Development Company (HADCO), a food company listed on Tadawul, the Saudi Arabian Stock Exchange.

National Water Company - advising the Saudi Arabian Government (Ministry of Water and Electricity) in relation to the restructuring of the underground potable water utilisation, potable water distribution network, waste water collection network and waste water treatment plants and the spinoff of these sectors to a new commercial entity.

Saudi Arabian Airlines Corporation (‘Saudia’) – Privatisation of In-Flight Catering and Skysales Division - advised Saudia on the sale of 49% of its catering and sky-sales business. This was the first privatisation to be initiated within the civil aviation sector in the Kingdom of Saudi Arabia and the first involving businesses of the national carrier.

Saudi Arabian Airlines Corporation (Saudia) – Privatisation of Cargo Business - this transaction is the second in the privatisation program of the non-core divisions of Saudi Arabian Airlines by the Saudi Arabian government. The transaction documentation incorporated an innovative structure similar to the structure and process undertaken on the landmark first privatisation for Saudia (where Al-Jadaan also acted) involving its in-flight catering and sky sales division.

Sipchem IPO - advised Sipchem on its rights issue which included for the first time a creative mechanism developed by this firm and Morgan Stanley Saudi Arabia to compensate non participating shareholders.

Privatisation of Power Plants - advised the Saudi Government and its subsidiaries in relation to the privatisation of water and power plants including Shuaibah and Shuqaiq IWPPs, the expansion of the water desalination capacity of the Shuaibah IWPPs, and the Ras Az Zawr IWPP (the largest IWPP to date to be tendered).
