Clifford Chance advises tectrex AG on one of the first-ever bond transactions subject to Germany's new Electronic Securities Act

Clifford Chance has advised tectrex AG on one of the first electronic real estate bonds to be issued on the public blockchain Polygon under Germany's Electronic Securities Act. A company belonging to the Gloram Real Estate group will issue the tectrex Central View securities on a decentralised basis in the form of cyrpto securities on Polygon. The issue programme comprises a mix of collectively registered securities and securities registered individually in a cypto securites register kept by Hauck Aufhäuser Lampe Privatbank AG.

tectrex cooperated closely with Gloram GmbH, an independent private real estate investor and manager, and 360X AG, the first BaFin-regulated marketplace for distributed ledger technology. As a German fintech focusing on real estate and infrastructure, tectrex provided the digital platform for real estate analyses, including digital exposés, a virtual dataroom and (in cooperation with PriceHubble) an automated valuation process for the residential part of the relevant property.

This new investment approach using crypto securities creates an innovative market structure where parties can interact bilaterally, giving issuers and investors an important leading edge, especially because – unlike with traditional bearer notes – there is no need for a central securities depository, and the parties can trade directly with one another without an intermediary, settling the crypto securities transactions via the cyrpto securities register.

tectrex is a joint venture established by RTX 21 GmbH and 360X, which offers digital, liquid equity, debt and derivative products with primary emission and secondary trading options. It enables a holistic digital valuation of assets and offers digital transfers, corporate actions as well as data analysis and reporting for real estate and infrastructure investors.

Die internationale Anwaltssozietät Clifford Chance hat die tectrex AG bei einer der ersten elektronischen Immobilienanleihen auf der öffentlichen Blockchain Polygon gemäß dem deutschen Gesetz über elektronische Wertpapiere (eWpG) beraten. Die tectrex Central View Wertpapiere werden durch ein Unternehmen der Gloram Real Estate dezentral auf einer öffentlichen Blockchain als Kryptowertpapiere begeben. Die Gesamtemission der Wertpapiere ist als Mischbestand teils aus einer Sammeleintragung und teils aus Wertpapieren in Einzeleintragung in einem durch die Hauck Aufhäuser Lampe Privatbank AG geführten Kryptowertpapierregister eingetragen.

tectrex agierte in enger Kooperation mit der Gloram GmbH, einem unabhängigen und privaten Immobilieninvestor und -manager, und der 360X AG, dem ersten BaFin-regulierten Handelsmarktplatz für Distributed Ledger Technology. Dabei lieferte tectrex als deutsches Fintech-Unternehmen mit Schwerpunkt Immobilien und Infrastruktur die digitale Plattform für die Immobilienanalyse inklusive digitalem Exposé, virtuellem Datenraum und (in Kooperation mit PriceHubble) automatisierter Bewertung für den Wohnteil des Objekts.

Dieser neue Investmentansatz über Kryptowertpapiere schafft eine neuartige Marktstruktur, bei der Parteien bilateral interagieren können, und bietet damit wesentliche Vorteile für Emittenten und Anleger, insbesondere da – anders als bei traditionellen Inhaberschuldverschreibungen – kein Zentralverwahrer erforderlich ist, und die Parteien somit direkt bilateral und ohne Intermediäre miteinander handeln und die Kryptowertpapiere über das Kryptowertpapierregister abwickeln können.
