Clifford Chance advises Oldenburgische Landesbank on its first synthetic credit risk transfer transaction
International law firm Clifford Chance has advised Oldenburgische Landesbank (OLB) on its first synthetic credit risk transfer transaction, allowing the bank to free up regulatory capital for balance sheet management purposes and further growth.
The transaction involves the issuance by OLB of a credit linked note referencing a corporate loan portfolio and is structured to comply with the requirements for simple, transparent and standardised (STS) securitisations under the EU Securitisation Regulation. The Common Equity Tier 1 capital ratio (CET1 ratio) was improved by around 40 basis points.
Clifford Chance provides ongoing advice to OLB on financial and M&A deals, most recently advising on its acquisition of Degussa Bank AG. OLB plans to use the capital released by the transaction also for the financing of the agreed transaction to acquire Degussa Bank.

Die internationale Anwaltssozietät Clifford Chance hat die Oldenburgische Landesbank (OLB) bei ihrer ersten synthetischen Risikotransfertransaktion beraten, wodurch die Bank regulatorisches Kapital für die Bilanzsteuerung und weiteres Wachstum freisetzen konnte.
Die Transaktion beinhaltet die Ausgabe einer Credit Linked Note durch die OLB, die auf ein von Firmenkundenportfoliokrediten referenziert, und ist so strukturiert, dass sie die Anforderungen der EU-Verbriefungsverordnung für einfache, transparente und standardisierte Verbriefungen (STS) erfüllt. Die harte Kernkapitalquote (CET 1-Quote) konnte um rund 40 Basispunkte verbessert werden.
Clifford Chance berät die OLB regelmäßig bei Finanz- und M&A-Transaktionen, zuletzt beim Erwerb der Degussa Bank AG. Die OLB plant, das durch die Transaktion freigesetzte Kapital unter anderem für die Finanzierung der vereinbarten Transaktion zum Erwerb der Degussa Bank zu verwenden.
