Clifford Chance advises TAV Airports and Fraport on EUR 1.255bn bridge financing for Antalya Airport in Turkey's largest airport capacity expansion
International law firm Clifford Chance advised the joint venture of airport operators TAV Havalimanları Holding A.Ş. (TAV Airports) and Fraport AG Frankfurt Airport Services Worldwide (Fraport AG) on a EUR 1.225 billion bridge financing regarding the renewal of operational rights for Antalya Airport in Turkey.
The joint venture of TAV Airports and Fraport AG used the bridge loan to finance in part the payment of the EUR 1.8125 billion (excluding VAT) upfront fee to Turkey's State Airports Authority (DHMI) for a new concession to increase the capacity and lease the operational rights for the domestic and international aviation and CIP terminals of Antalya Airport. The upfront fee represents 25 percent of the total lease fee of EUR 7.25 billion (excluding VAT) for the full new 25 year concession period starting 2027 and terminating at the end of 2051.
The project, which will see the annual capacity of Antalya Airport being extended to 80 million passengers, marks Turkey's largest airport capacity expansion to date, with the joint venture of TAV Airports and Fraport AG committing to a EUR 765,252,109 investment in addition to the lease fee.
Financing for the bridge loan was provided by nine banks: Deutsche Bank, Ziraat Bank, Akbank, Vakıfbank, TEB, Alpha Bank, QNB Finansbank, Piraeus Bank and Kommunalkredit Austria.
TAV Airports and Fraport AG are leading operators in the airport industry. TAV Airports operates 15 airports in eight countries, including Esenboğa Airport in Ankara, Tblisi Airport in Georgia, Madinah Airport in Saudi Arabia and Zagreb Airport in Croatia. Fraport AG operates and provides aviation related services at more than 30 airports around the world including Frankfurt Airport in Germany, Mykonos Airport in Greece, Ljubljana Airport in Slovenia and Porto Alegre International Airport Salgado Filho in Brazil.
Completing the bridge financing in the first quarter of 2022 was a great achievement, in particular against the backdrop of recent international developments.

Die internationale Anwaltssozietät Clifford Chance hat das Joint Venture der Flughafenbetreiber TAV Havalimanları Holding A.Ş. (TAV Airports) und Fraport AG Frankfurt Airport Services Worldwide (Fraport AG) bei einer Brückenfinanzierung über 1,225 Milliarden Euro zur Erneuerung der Betriebsrechte für den türkischen Flughafen Antalya rechtlich beraten.
Das Joint Venture von TAV Airports und Fraport AG nutzte das Brückendarlehen zur teilweisen Finanzierung der Vorauszahlung von 1,8125 Milliarden Euro (ohne USt.) an die türkische Staatliche Flughafenbehörde (DHMI) für eine neue Konzession zur Kapazitätserhöhung und Anmietung der Betriebsrechte für die nationalen und internationalen Passagier- und Fracht-Terminals des Flughafens Antalya. Die Vorauszahlung entspricht 25 Prozent der gesamten Pachtgebühr von 7,25 Milliarden Euro (ohne MwSt.) für die gesamte neue 25-jährige Konzessionsperiode, die 2027 beginnt und Ende 2051 endet.
Das Projekt, mit dem die jährliche Kapazität des Flughafens Antalya auf 80 Millionen Passagiere erweitert wird, ist die bisher größte Erweiterung der Flughafenkapazität in der Türkei. Zusätzlich zur Pachtgebühr hat das Joint Venture von TAV Airports und Fraport AG eine Investition von 765.252.109 Euro zugesagt.
Die Brückenfinanzierung wurde von neun Banken bereitgestellt: Deutsche Bank, Ziraat Bank, Akbank, Vakıfbank, TEB, Alpha Bank, QNB Finansbank, Piraeus Bank und Kommunalkredit Austria.
TAV Airports und die Fraport AG sind führende Flughafen-Betreiber.
