Clifford Chance advises METRO GROUP on the sale of the majority shareholding in 10 Real hypermarket sites to Carlton Investment

Clifford Chance advised METRO PROPERTIES, the real estate subsidiary of METRO GROUP, on the divestment of the majority shareholding in 10 Real hypermarket sites to Carlton Investment as part of a joint venture.

Carlton Investment is a joint enterprise between Hildesheim-based Lüder group and Berlin-based investor Jan Wehle. The transaction relates to the so called “Socrates portfolio,” which METRO PROPERTIES had reacquired from the DELEK Group in 2014.

The properties were transferred into a holding company in which METRO PROPERTIES holds a 40% stake and Carlton Investment a 60% stake. The Real hypermarket sites that form part of the transaction are located at Bremerhaven-Pferdebade, Castrop-Rauxel, Gross-Gerau, Darmstadt, Freiburg (Gundelfinger Strasse), Heidenau, Würzburg (Nürnberger Strasse), Wetzlar, Raunheim and Wiesbaden (Mainzer Strasse). All properties were secured for Real through long-term rental agreements.

Clifford Chance berät METRO GROUP beim mehrheitlichen Verkauf von 10 Real-Warenhäusern an Carlton Investment

Die internationale Anwaltssozietät Clifford Chance hat die Immobilientochter der METRO GROUP, METRO PROPERTIES, bei der Veräußerung der mehrheitlichen Beteiligung an 10 Real-SB-Warenhäusern im Rahmen eines Joint Ventures an die Carlton Investment, Berlin, beraten. Carlton Investment ist ein Gemeinschaftsunternehmen der Unternehmensgruppe Lüder, Hildesheim, und Jan Wehle, Berlin.

Die Transaktion umfasst das sogenannte „Sokrates“-Portfolio, welches METRO PROPERTIES im Jahr 2014 von der DELEK-Gruppe zurückerworben hatte.

Bei der gewählten Transaktionsstruktur wurden die Immobilien in eine Holding eingebracht, an der METRO PROPERTIES 40 Prozent und die Carlton Investment über eine Objektgesellschaft 60 Prozent halten. Im Einzelnen handelt es sich um die Real-Märkte Bremerhaven-Pferdebade, Castrop-Rauxel, Groß-Gerau, Darmstadt, Freiburg (Gundelfinger Straße), Heidenau, Würzburg (Nürnberger Straße), Wetzlar, Raunheim und Wiesbaden (Mainzer Straße). Alle Standorte wurden durch langfristige Mietverträge für Real gesichert.
