Clifford Chance advises a portfolio company of US investment fund Clayton Dubilier & Rice on the acquisition of a majority stake in J.A. Woll Group
Clifford Chance has advised SBR Europe S.à r.l., a portfolio company of the US private equity fund Clayton Dubilier & Rice (CD&R), on the acquisition of a majority stake in J.A. Woll Group, Soltau/Niedersachsen. Managing Directors Ingo Stern and Ralf Hartwich will retain their shares in the company, a discount retailer. The parties have agreed to keep the purchase price confidential. The transaction is subject to approval from the competent cartel authorities.
SBR Europe S.à r.l. is the Luxembourg holding company of B&M Retail Group (B&M), Liverpool. In 2012, B&M was acquired by CD&R with support from Clifford Chance. CD&R, with their headquarters in New York and London, is one of the most well-established private equity houses. CD&R invests primarily in companies with a value from USD 500 million up to USD 15 billion.
B&M is one of the leading retailers in Great Britain. The company operates more than 370 shops and employs about 17,000 employees. The acquisition of J.A. Woll Group is B&M's market entry in Germany.
The J.A. Woll group operates retail shops under the brands "JAWOLL" and "HAFU 49", as well as five franchise shops for line-ends throughout Germany, mainly in the German federal states of Lower Saxony, Schleswig-Holstein, North Rhine-Westphalia and Hesse.

Die internationale Anwaltssozietät Clifford Chance hat SBR Europe S.à r.l., ein Portfoliounternehmen des US-amerikanischen Private-Equity-Fonds Clayton Dubilier & Rice (CD&R), beim Erwerb einer Mehrheitsbeteiligung an der J.A. Woll-Gruppe, Soltau/Niedersachsen, beraten. Die bestehenden Geschäftsführer, Ingo Stern und Ralf Hartwich, bleiben am Unternehmen, einem Discount-Einzelhändler, beteiligt. Über den Kaufpreis haben die Parteien Stillschweigen vereinbart. Die Transaktion erfolgt vorbehaltlich der Zustimmung der zuständigen Kartellbehörden.
