Clifford Chance advised Illinois Tool Works Inc. on its takeover of the Meurer-Group

Clifford Chance advised Illinois Tool Works Inc. (ITW), Glenview (Illinois/USA), on its takeover of the Meurer-Group, Fürstenau (Germany). ITW acquired all shares in Meurer Verpackungssysteme GmbH and in Meurer Elektro- und Steuerungstechnik GmbH (including four subsidiaries). The consummation of the transaction is subject to its approval by the Federal Cartel Office.

The Meurer-Group develops, manufactures and distributes high-quality grouping packaging machines, primarily for the beverages, foodstuffs and pharmaceutical industries, and generated sales of approximately EUR 70 million with its approximately 600 employees in 2012.

ITW is a listed US conglomerate with currently approximately 800 group companies. ITW's annual sales in 2012 totalled approximately USD 18 billion.

Die internationale Anwaltssozietät Clifford Chance hat Illinois Tool Works Inc. (ITW), Glenview (Illinois/USA), bei der Übernahme der Meurer-Gruppe, Fürstenau (Niedersachsen), beraten. ITW erwarb sämtliche Geschäftsanteile an der Meurer Verpackungssysteme GmbH und der Meurer Elektro- und Steuerungstechnik GmbH einschließlich ihrer vier Tochtergesellschaften. Der Vollzug des Erwerbs steht unter dem Vorbehalt der Freigabe durch das Bundeskartellamt.

Die Meurer-Gruppe entwickelt, produziert und vertreibt hochwertige Sekundärverpackungsmaschinen primär für die Getränke-, Lebensmittel- und Pharmaindustrie und erwirtschaftete 2012 mit circa 600 Mitarbeitern einen Umsatz von rund 70 Millionen Euro.

ITW ist ein weltweit agierender börsennotierter USamerikanischer Mischkonzern mit derzeit rund 800 Konzerngesellschaften. ITW erwirtschaftete 2012 einen Jahresumsatz von rund 18 Milliarden US-Dollar.
