Clifford Chance advises EWE on the issue of a 500 million Euro bond and synthetic repurchase of notes

Clifford Chance advised EWE Aktiengesellschaft, Oldenburg, Germany, on a bond issue in the amount of 500 million Euro.

The bond has a term of nine years, a coupon of 4.125 % p.a. and was several times oversubscribed. The group of managers comprised joint lead managers Barclays, BNP Paribas, DZ Bank and UniCredit.

In addition, Clifford Chance advised EWE on a synthetic repurchase of notes issued by EWE in 2004. The repurchase, which had a volume of over 350 million Euro, was handled by Barclays. Barclays and BNP Paribas acted as dealer managers.

Clifford Chance regularly advises banks, insurance companies and other issuers on the issue of investment-grade, crossover and high yield bonds and on innovative repurchase and exchange offers.

Die internationale Anwaltssozietät Clifford Chance hat die EWE Aktiengesellschaft, Oldenburg, bei der Begebung einer Anleihe mit einem Volumen von 500 Millionen Euro beraten.

Die Anleihe hat eine Laufzeit von neun Jahren bei einer Verzinsung von 4,125 % p.a. und war mehrfach überzeichnet. Das Bankenkonsortium bestand aus den Joint Lead Managern Barclays, BNP Paribas, DZ Bank und UniCredit.

Daneben hat Clifford Chance EWE bei einem synthetischen Rückkauf von Schuldverschreibungen beraten, die EWE 2004 emittiert hatte. Der Rückkauf im Volumen von über 350 Millionen Euro wurde von Barclays abgewickelt. Als Dealer Manager handelten Barclays und BNP Paribas.

Clifford Chance berät Banken, Versicherungen und andere Emittenten regelmäßig bei der Emission von Anleihen im Investmentgrade, Cross-Over und High-Yield Bereich und bei innovativen Rückkauf- und Umtauschangeboten.
