Rob's practice focuses on securitization and structured finance. Rob represents financial institutions, investment banking firms, hedge funds, issuers, sellers, purchasers, investors and servicers in a broad variety of financial transactions. He has extensive experience in documenting public and private securitization and resecuritization transactions of a broad range of asset classes, including performing and non-performing new origination (including "non-QM") or seasoned residential mortgage loans of varying credit quality, small-balance commercial mortgage loans, Fannie Mae and Freddie Mac credit risk transfer securities, SBA guaranteed loan pool certificates, FHA insured mortgage loans, Ginnie Mae early buyout loans, automobile loans, dealer floorplan receivables, credit card receivables, the unguaranteed portions of SBA 7(a) loans and resecuritizations of asset-backed securities. Rob is also well-versed in the sale of servicing rights and servicing transfers, the negotiation of servicing agreements and mortgage loan sale agreements (representing both sellers and purchasers) and the structuring of credit risk transfer transactions.

Since 2007, Rob has worked with a number of clients in the creation and implementation of investment acquisition and disposition structures of several distressed asset opportunity funds and programs, including the use of complex multi-tiered securitization structures as financing or exit strategies for such assets. Over the last few years, Rob has represented many of these funds and their affiliates as borrowers in a variety of structured repo, warehouse, gestation and other credit facilities collateralized by performing and non- performing mortgage loans, servicing rights, servicing advance and delinquency advance receivables and real estate.

  • Rob regularly represents sponsors, issuers, underwriters, investors, asset managers, sellers and purchasers in documenting public and private securitization and resecuritization transactions (both rated and unrated) of a broad range of asset classes, including performing and non-performing new origination or seasoned residential mortgage loans of varying credit quality and lien position, small-balance commercial mortgage loans, Fannie Mae and Freddie Mac credit risk transfer securities, SBA guaranteed loan pool certificates, FHA insured mortgage loans, excess yield, servicing advance receivables, the unguaranteed portions of SBA 7(a) loans and previously-issued asset-backed securities. Rob has also represented underwriters in securitizations of automobile loans, dealer floorplan receivables and credit card receivables.
