Focuses on the tax aspects of national and cross-border mergers, acquisitions, joint ventures, spinoffs and restructurings. Represents clients in public and private, taxable and tax-free acquisitions and other corporate transactions in a range of industries.
Advises private equity and hedge funds on structuring fund vehicles and portfolio investments.
Regularly advises on the tax aspects of securities offerings, debt restructurings, structured finance transactions and other financings. Advises lenders, underwriters and lessors on transportation (aircraft, railcars and ships) and other asset finance transactions, including leveraged leases, secured lending, sale-leasebacks and portfolio securitizations.
