Highlights of deals and projects

  • Advised SapuraKencana Petroleum Berhad on the acquisition of Seadrill Limited's tender rig business for an enterprise value of US$2.9 billion. The parties entered into a non-binding memorandum of understanding on 5 November 2012 to combine and integrate both companies' tender rig businesses, creating the world's leading tender rig operator with definitive transaction documentation entered into on 12 February 2013 and completion on 30 April 2013. This transaction is one of the largest M&A transactions in south east Asia on 2013 and had a significant Indonesia component.
  • Advised Carrefour on the sale of its 60% stake in Carrefour Indonesia for €525 million to its local partner, CT Corp.
  • Advised private equity firm Baring Private Equity Asia on its acquisition of a minority stake in PT Toba Bara Sejahtra, an Indonesian listed coal mining company.
  • Advised Philip Morris International on the transfer of selected assets and liabilities of Philip Morris Philippines Manufacturing Inc and Fortune Tobacco Corporation, a leading local cigarette manufacturer in the Philippines, into a new joint venture company, PMFTC.
